Chapter 1589: Just Gone!

“Click, click...”

“ We filed a preliminary proxy statement with the United States Securities and Exchange Commission.

After careful evaluation of the seven director candidates nominated by Chase, the Company Supervisory Board is of the view that these nominations are not conflicting and would bring additional skills or expertise to the Qualcomm Board.

At the shareholders' meeting on February 6, 2009, the current 11 directors of the Qualcomm Board of Directors experienced seven changes: Samuel Haji, former president of the Nokia Mobile Network Business Group; Gregorio Reyes, former chairman of the Dialog Semiconductor Company; and Harrieu, CFO of Free City Technology Holdings...

On the proposal of the Supervisory Board of the Company, the Board of Directors of the Company unanimously decided to formally elect Andy Smith as Chairman of Qualcomm at its annual general meeting on February 6, 2009.

Andy Smith, born in 1984... ”

Qualcomm's press spokesperson stood on the podium, facing hundreds of media reporters under the stage, officially released the resolutions and election results emanating from the Qualcomm shareholders' meeting.

“ Qualcomm is in a better position than any other business in the areas of mobile, internet, automotive, edge computing and networking. We believe we can create additional value for our shareholders. ”

With the press spokesperson's summary statement, the complete dust settled in a boiling months of Qualcomm acquisitions, ending with Andy Smith completing control of Qualcomm at minimal cost.

It also marks the beginning of the Andy Smith era with Qualcomm, a leading company with no one to shock in the chip sector.

There's this company...

Ordinary people may not have seen its products before...

But I pay it every day...

It's the most hateful company in the telecommunications industry...

Almost all companies bite it...

It's also one of the most involved companies in the industry...

I'm not saying goodbye...

Just being sued...

Why does everyone hate Qualcomm?

Why is Qualcomm so hated or even scared by the whole industry?

Speaking of, it's all about “patents.”

Andy sat in the chairman's office with a tremendous heart, not to finally sit on the chairman's throne, but to see Qualcomm's assets list and feel like he was really sitting on a super gold mine!

Qualcomm actually owns 130,000 patent reserves in the communications sector, not only in the chip sector, but also in mobile communications and the technology necessary to achieve many basic operations for smartphones.

In particular, whether or not smartphones use Qualcomm chips, the necessary patents for Qualcomm R&D are inevitably used to leverage Qualcomm R&D results. This inevitably entails payment of a patent fee to Qualcomm.

“Tsk, is that what cell phone manufacturers call a" Qualcomm tax ”?” Andy glanced into his eyes and casually looked at the list file in his hand and said to himself with great pleasure.

According to Qualcomm's patent licensing rules, mobile phone manufacturers are required to pay Qualcomm a percentage of the licensing fee based on the selling price of the phone.

Of course, this charging method is not Qualcomm's invention, because in the current telecommunications industry, Motorola, Ericsson and Nokia are all based on the selling price of mobile phones to determine licensing fees.

However, Qualcomm's anti-monopoly investigations are frequently launched precisely because of the Qualcomm tax "hegemony” approach, which has led to dissatisfaction with Qualcomm among Governments.

In 2005, US Bottom launched an antitrust lawsuit against Qualcomm, which culminated in a settlement that resulted in Qualcomm paying nearly $900 million to Bottom.

In 2007, the Republic of Korea conducted an antitrust investigation into Qualcomm, and the case is still ongoing...

In the same year, the European Commission conducted an anti-monopoly investigation against Qualcomm on the basis of reports from six companies, including Nokia, which has similarly yet to be concluded and is under negotiation.

Andy looked at the antitrust investigation sent by CEO Steve Morenkopf from Korea and the European Commission and threw it aside, laughing.

Andy understands and understands very well what these countries think, but since Qualcomm has become one of his own companies, he will naturally not bow his head to these red-eyed countries.

Isn't that an antitrust investigation? Isn't that a fine?

Well, I'd rather fight a lawsuit, pay a fine, and Andy wouldn't bow his head to these countries, which not only breaks a bad head, but also affects the patent licensing and reverse licensing patterns on which Qualcomm depends to survive.

You know, the first time Andy saw the reverse authorization clause, he was shocked by the shamelessness of the Qualcomm group.

The so-called Qualcomm reverse licensing clause means that any person or company that uses Qualcomm products needs to license the patent in Qualcomm's hands free of charge to Qualcomm and others who use Qualcomm patents.

That is, the book, in a way, Qualcomm makes other people's patents a piece of scrap paper.

Andy doesn't know how shameless and greedy people were when they came up with this kind of clause, but now Andy really wants to say to him that coming up with this shameless clause is such a fucking bull 13!

Because Andy knows better than anyone that the real core of Qualcomm is chip technology and huge patent barriers, so long as they hold onto these two killers, even if they hate biting their teeth, they can't get Qualcomm, because Qualcomm's patents are so important, they can't get around them.

“Beep ——”

Andy glanced at the answering machine on the desk and reached down and heard the assistant.

“Boss, Steve Morenkopf has arrived... ”

“Invite him in. ”

“Okay, boss. ”

Release the button, Andy refinishes the files in his hand, puts them on a tall pile of documents beside him, breathes a sigh of relief, looks at the piles of documents beside him, and doesn't have to shake his head to laugh.

Though he can totally grasp everything without having to do anything, he will never be a set chairman, he is ambitious Qualcomm, so how can he be a handshake, let alone now he holds only 26% of Qualcomm's shares.

To complete the annexation of Qualcomm, Andy's successor plan is equally important. The first step has been successfully achieved, followed by the step-by-step completion of the control of Qualcomm, so that it can become a finger within the company, disintegrating from within, taking advantage of every opportunity to increase its own personal shares, so long as it holds more than 51% of the shares, then all the constraints that can now strangle him will disappear.

“Knock, knock...”

“Come in! ”

“Chairman. ”

“Sit down, drink something and talk to Tory.” Andy smiled and rushed in, and Steve Morenkopf nodded.

“Thanks, just coffee.” Steve Morenkopf looked at the two large piles of documents placed on Andy's desk, watched Andy put the one he had already seen on that little pile of documents, his pupils slightly shrunk, and smiled and said to Tory Black, chairman's assistant standing next to him.

“I just received a congratulatory call from Apple Cook, who, in addition to congratulating me on becoming Chairman of Qualcomm, told me that Apple had decided to settle the previous lawsuit, and I agreed, and I left the follow-up to this matter to you.” Andy put the file away and said with a faint smile on his face and Steve Morenkopf looking at him.

“Reconciliation?” Steve Morenkopf frowned slightly, nodded after muttering: “And Apple's lawsuit, at the end of the day, Apple will lose, because they can't prove it, it's totally unreasonable to make a fuss, and they will be fined, but after all, we still have a partnership with them, and if we really want to lose this big client because of this, it's probably the best solution. ”

“Well, that's what I think, Apple's smartphone business can't bypass us in any way, it doesn't have to be hostile to the Apple companies that are already leading the trend, everyone is trying to make money.” Andy nodded and smiled, just smiling at the next moment and said with a serious expression: “However, dealing with Apple, you can't give in. Even if we reach a settlement between the two companies now, in the future, with the domination of Apple, we will certainly be hostile to them again, which you have to do in mind. ”
